This End-User License Agreement (“Agreement”) governs your use of Hyperion (“the App”), a private logistics and fleet-management application provided by Hyperion Logistics Inc. (“Hyperion Logistics,” “we,” “us,” or “our”). By accessing or using the App, you agree to the terms of this Agreement. If you do not agree, do not use the App.
Hyperion Logistics grants you a limited, non-exclusive, non-transferable, revocable license to access and use the App solely for the internal business purposes of Hyperion Logistics and only to the extent authorized by Hyperion Logistics. The App is licensed, not sold.
The App is intended only for authorized personnel of Hyperion Logistics (owners, dispatchers, and drivers). You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must not share your credentials or allow unauthorized persons to access the App.

The App, including all software, content, and related intellectual property, is owned by Hyperion Logistics and is protected by applicable laws. This Agreement does not grant you any ownership rights in the App.
The App connects to third-party services, including QuickBooks Online (Intuit) and Samsara. Your use of those services through the App is also subject to the respective terms and privacy policies of those providers. Hyperion Logistics is not responsible for the availability, accuracy, or practices of third-party services.
The App is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the App will be uninterrupted, error-free, or secure.
To the maximum extent permitted by law, Hyperion Logistics will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or business, arising out of or related to your use of or inability to use the App.
Hyperion Logistics may suspend or terminate your access to the App at any time, with or without notice, including if you violate this Agreement. Upon termination, your right to use the App ends immediately.
This Agreement is governed by the laws of the State of California, USA, without regard to its conflict-of-law principles.
